The “Advertiser” refers to the company or individual identified in our quote or invoice, including those acting as Affiliate Partners.
Limitation of Liability: To the fullest extent permitted by law, neither party shall be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities, arising out of or in connection with our agreements, regardless of cause or legal theory, even if advised of the possibility of such damages.
Disclaimer of Warranties: All services and content are provided “as is,” without warranties of any kind, express or implied. The Advertiser acknowledges that our websites generate traffic primarily through organic means and, as such, we cannot guarantee specific performance, traffic levels, or outcomes from affiliate placements. Organic traffic is subject to natural fluctuations, which may result in monthly variations that exceed or fall short of expectations. Advertisers are strongly encouraged to independently analyze and forecast traffic trends using publicly available tools such as Ahrefs.
Affiliate-Specific Terms: For Advertisers acting as Affiliate Partners, all referred customers are permanently attributed to Optimizee Group LLC, and commissions on their Net Gaming Revenue (NGR) are payable for the lifetime of the customer account (“Lifetime Revenue Share”). Where a percentage administration fee is agreed, it shall be deducted from gross gaming revenue to calculate NGR, and such fee shall be all-inclusive of bonus costs, system fees, payment processing charges, and other operational expenses. Commissions shall not expire or be subject to minimum activity requirements, and all accrued balances must be paid in full according to the agreed schedule.
Placement in Comparison Tables: This section applies to partners listed in our comparison tables (listings on our websites that rank Advertisers’ products or services for comparison). Each Advertiser is guaranteed placement for at least 12 months. If a shorter position period is agreed, the Advertiser will remain listed but may be moved to another position. The listing start date begins once payment is received. Delayed payment postpones the start date, but the end date remains unchanged, as adjusting it may affect other agreements.
Licensing & Service Availability: Advertisers must ensure they hold all required licenses in the countries they operate. If they lack proper licensing, no longer offer the promoted services, or change their offerings, we may restrict visibility, remove their ads, or replace it with alternative advertisements to ensure platform relevance and compliance by region. Any reference to a product as “excluding [listed countries/investments]” is non-exhaustive. Optimizee Group LLC may update or expand these exclusions at any time, at its sole discretion, to refine product specificity, comply with regional or regulatory requirements, or improve user experience.
Payment Terms & Scope of Services: All payments must be made in full and upfront to maintain the integrity of our deals and packages, which may include discounts or other special arrangements. The Advertiser will only receive the services and placements included in our quote or invoice. Any additional services require a revised or separate quote or invoice.
Confidentiality & Indemnification: The Advertiser shall keep confidential all non-public information about Optimizee Group LLC, its websites, business practices, and pricing, and may not disclose it without prior written consent. The Advertiser further agrees to indemnify and hold harmless Optimizee Group LLC, its partners, affiliates, officers, and agents against any claims, damages, losses, or expenses (including legal fees) arising from: (a) breach of our Agreements, (b) content provided by the Advertiser, or (c) violation of laws or third-party rights.
Priority of Terms: Optimizee Group LLC does not accept any third-party terms that contradict or modify this Agreement. Any such terms are hereby expressly rejected and shall have no force or effect, even if electronically accepted as part of platform registration, onboarding, or participation in any affiliate program or network. No conflicting terms shall apply unless agreed in a written document signed by both parties.
Termination: All Agreements run for their full term and may not be ended early by the Advertiser without Optimizee Group LLC’s written consent. Optimizee Group LLC may terminate immediately if the Advertiser or Affiliate Partner breaches these Terms or any agreed scope of work, including but not limited to obligations on payment, licensing, compliance, confidentiality, or performance of agreed activities. All payments are non-refundable.
Governing Law and Jurisdiction: All Agreements shall be governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Delaware.
